1. Acceptance of Terms
By accessing and using the services provided by Adattrouxto Accounting Services ("Company," "we," "our," or "us"), you ("Client," "you," or "your") accept and agree to be bound by the terms and provisions of this agreement.
2. Description of Services
Adattrouxto Accounting Services provides professional accounting services including but not limited to:
- Tax preparation and filing
- Bookkeeping and financial record maintenance
- Financial consulting and advisory services
- Business incorporation and setup assistance
- Audit support and representation
- Payroll processing and management
3. Client Responsibilities
3.1 Information Accuracy
You agree to provide complete, accurate, and timely information necessary for the performance of our services. You are responsible for:
- Providing all relevant financial documents and records
- Ensuring the accuracy of information provided
- Informing us promptly of any changes that may affect our services
- Maintaining proper backup of your financial records
3.2 Cooperation
You agree to cooperate fully with our team and respond promptly to requests for information or clarification.
4. Professional Standards
Our services are provided in accordance with:
- Canadian generally accepted accounting principles (GAAP)
- Professional standards of the Chartered Professional Accountants of Canada
- Applicable federal and provincial tax laws and regulations
- Professional codes of conduct and ethics
5. Fees and Payment
5.1 Fee Structure
Fees for our services will be communicated to you before work begins. Our fees are based on:
- Complexity of the work required
- Time spent on your matter
- Professional expertise required
- Agreed-upon fixed fees for specific services
5.2 Payment Terms
Payment terms are as follows:
- Invoices are due within 30 days of the invoice date
- Late payments may incur interest charges at a rate of 1.5% per month
- We reserve the right to suspend services for overdue accounts
- Collection costs for overdue accounts will be charged to the client
6. Confidentiality
We maintain strict confidentiality regarding all client information in accordance with professional standards and applicable privacy laws. We will not disclose your information except:
- With your written consent
- As required by law or court order
- To other professionals working on your behalf (with your consent)
- For quality control or peer review purposes (with identifying information removed)
7. Limitation of Liability
7.1 Service Limitations
Our liability for any claim arising from our services is limited to the fees paid for the specific service giving rise to the claim, unless otherwise required by law.
7.2 Third-Party Actions
We are not responsible for:
- Actions of government agencies or tax authorities
- Changes in tax laws or regulations after service completion
- Penalties or interest resulting from late filing due to client delays
- Decisions made by you contrary to our recommendations
8. Indemnification
You agree to indemnify and hold harmless Adattrouxto Accounting Services from any claims, damages, or expenses arising from:
- Inaccurate or incomplete information provided by you
- Your failure to comply with applicable laws or regulations
- Your use of our services in a manner not authorized by this agreement
9. Termination
9.1 Termination by Client
You may terminate our services at any time with written notice. You remain responsible for payment of all fees incurred up to the termination date.
9.2 Termination by Company
We may terminate our services with reasonable notice if:
- Payment obligations are not met
- You fail to provide necessary information or cooperation
- A conflict of interest arises
- We determine that we cannot competently represent your interests
10. Document Retention
We will retain copies of your records and our work papers in accordance with professional standards, typically for seven years. You are responsible for maintaining your original records.
11. Communication
Unless otherwise specified, communications regarding our services will be conducted via:
- Email to addresses you have provided
- Telephone calls to numbers you have provided
- Secure client portals when available
- Regular mail to your last known address
12. Dispute Resolution
Any disputes arising from this agreement will be:
- First addressed through good faith negotiation
- If unresolved, submitted to binding arbitration under Quebec law
- Governed by the laws of Quebec, Canada
13. Modification of Terms
We may modify these terms from time to time. Material changes will be communicated to you in advance. Continued use of our services after modification constitutes acceptance of the new terms.
14. Professional Insurance
We maintain professional liability insurance appropriate for our services. Details of coverage limits are available upon request.
15. Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures.
16. Entire Agreement
This agreement, along with any signed engagement letters, constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.

18. Severability
